1. Scope and Principle
These Terms of Delivery take precedence over the General Terms and Conditions of Primex GmbH (in particular Part 2, Section 2.7 et seq. and Section 2.9) to the extent that they govern matters relating to the organization of transportation, loading, unloading, allocation of costs, transfer of risk, customs clearance, or transportation-related obligations to cooperate.
The applicable terms of delivery are set forth in the offer, the order confirmation, or any other specific agreement expressly entered into. Any specific agreements that differ from these terms of delivery shall take precedence over them.
To the extent that orders are placed through a Primex GmbH B2B online store, these Terms of Delivery apply only to customers acting in a commercial capacity; in particular, the company name and VAT ID number must be provided. Consumers will be directed to separate consumer terms and conditions during the ordering process.
For customers within the European Union, Primex generally offers the FCA, CPT, and DAP delivery terms. For shipments to countries outside the European Union, Primex generally offers FCA and DAP, unless otherwise expressly agreed upon in individual cases.
Note: These Terms of Delivery apply exclusively to business customers as defined in Section 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law. For contracts with consumers as defined in Section 13 of the German Civil Code (BGB), only the relevant provisions of the General Terms and Conditions of Primex GmbH (Part 3) and the shipping terms listed in the B2C online store apply.

3. FCA - Pickup by the buyer (self-pickup)
Agreed Incoterm: FCA Primex GmbH, Senefelder Straße 12, 63456 Hanau, Germany, Incoterms® 2020
3.1 Loading, Suitability of Transport Vehicles, and Load Securing
Primex is responsible for the mechanical loading of the goods onto the means of transport provided by the buyer. Primex’s obligation to load the goods applies only if the means of transport provided by the buyer or the buyer’s carrier is technically fully suitable for the safe transport of the goods in question and is in a roadworthy condition. Primex is entitled to refuse loading if the means of transport is unsuitable or if necessary securing equipment is missing. Downtime, waiting times, storage costs, or other consequential costs arising from the buyer or the buyer’s carrier shall be borne by the buyer and will be billed to the buyer.
Responsibility for properly securing the cargo (e.g., lashing, wedging) lies solely with the buyer or the buyer’s carrier. Primex is not liable for damages resulting from inadequate cargo securing by the buyer or the buyer’s agents.
3.2 Transfer of Risk and Costs
Once the goods have been fully loaded onto the means of transport provided by the buyer, the risk of accidental loss or accidental deterioration of the goods, as well as any further transportation costs, shall pass to the buyer.
3.3 Export Customs Clearance for Shipments to Third Countries
For shipments to countries outside the European Union, Primex will handle the official export customs clearance from the European Union at its own expense, including the preparation of the necessary export documents, to the extent required under the agreed Incoterm FCA and the specific shipment.
The buyer is responsible for all obligations and costs associated with import customs clearance in the country of destination, as well as all duties, taxes, and other import charges incurred there.
4. CPT - Shipping arranged by Primex; buyer pays for shipping; buyer unloads
Agreed Incoterm: CPT, named place of destination as specified in the order confirmation, Incoterms® 2020
4.1 Costs, Organization, and Unloading
Primex arranges for the shipment of the goods to the agreed-upon destination or the destination specified in the order confirmation. The applicable shipping and freight costs will be billed to the buyer in full and separately, unless otherwise expressly agreed.
The carrier will make the goods available on the means of transport at the destination, ready for unloading. The physical unloading of the goods at the destination shall be performed exclusively by the buyer at the buyer’s own expense and risk.
The buyer must unload the vehicle promptly, properly, and in compliance with applicable safety regulations. The buyer shall ensure that suitable unloading equipment, trained personnel, and the necessary access and unloading facilities are available upon the vehicle’s arrival.
4.2 Transfer of Risk and Shipping Costs
The transport risk (transfer of risk) passes to the buyer upon delivery of the goods to the first carrier at the Primex plant or at the agreed shipping location. This CPT provision takes precedence over the general provision in Section 2.9.1 of the Primex General Terms and Conditions (transfer of risk upon delivery to the transportation service provider).
Primex initially pays the freight charges to the freight forwarder or carrier and then invoices the buyer for the full amount, net plus applicable sales tax (if applicable), separately, unless otherwise agreed.
4.3 Waiting Times and Additional Costs
The buyer shall bear any waiting times, demurrage charges, additional costs resulting from a lack of or delayed unloading facilities, and other additional costs at the destination, to the extent that they arise within the buyer’s sphere of control.
5. DAP - Shipping arranged and paid for by Primex; buyer unloads
Agreed Incoterm: DAP, named place of destination as specified in the order confirmation, Incoterms® 2020
5.1 Costs, Organization, and Unloading
Primex arranges for the shipment of the goods to the agreed-upon destination or the destination specified in the order confirmation and bears all standard shipping and freight costs incurred up to that point.
The goods will be made available on the means of transport at the named destination, ready for unloading. The actual unloading of the goods at the destination shall be carried out exclusively by the buyer at the buyer’s own expense and risk.
The buyer shall ensure that appropriate unloading equipment and trained personnel are available upon the arrival of the means of transport. The buyer shall also ensure that the necessary access and unloading facilities are available at the destination.
5.2 Transfer of Risk and Costs
Danger and risk associated with transportation shall not pass to the buyer until the goods are made available for unloading at the designated destination. This DAP provision takes precedence over the general provision in Section 2.9.1 of the Primex General Terms and Conditions (transfer of risk upon handover to the carrier).
Primex shall bear the standard transportation and freight costs until the goods are made available at the designated destination. Once the goods are made available for unloading, the buyer shall bear all further costs, including, in particular, unloading, demurrage, waiting, and consequential costs, unless Primex is responsible for such costs.
5.3 Export Customs Clearance for Shipments to Third Countries
Until the goods arrive at the designated destination, Primex shall bear the standard freight and transportation costs, as well as the costs of export customs clearance from the European Union, to the extent required under the agreed Incoterm DAP and the specific shipment.
The buyer expressly bears the costs of physical unloading, any downtime of the means of transport, and all obligations and costs associated with import customs clearance in the country of destination, including customs duties, import taxes, and other local levies.
6. General Supplementary Provisions
6.1 Designated Location
To ensure that the agreed-upon delivery terms are applied unambiguously, the specific location will be specified in the quote or in the order confirmation.
For FCA, the designated location is generally the Primex GmbH facility in Hanau.
Under CPT and DAP, the named place is generally the delivery address specified in the order confirmation or a destination expressly agreed upon as an alternative.
6.2 Zoll, Exports, Imports, and the Buyer's Cooperation
For shipments to countries outside the European Union, the buyer is responsible for the obligations and costs associated with import customs clearance in the destination country, including customs duties, import taxes, local levies, and other regulatory requirements, unless otherwise expressly agreed.
The buyer shall provide Primex with all information, evidence, and documentation required for customs, export control, import, or other regulatory procedures in a timely and complete manner.
6.3 Export Controls and Sanctions Regulations
Deliveries are subject to the condition that they are not prohibited by any national or international export control, sanctions, embargo, or other foreign trade regulations, and that the necessary government approvals for the delivery are granted.
Primex is not obligated to make a delivery if such regulations prevent the delivery or if the necessary permits are not granted. Delays or obstacles to delivery resulting from such regulations, the lack of permits, or the buyer’s failure to cooperate shall not be the responsibility of Primex.
6.4 Transportation Insurance
Transportation, cargo, or other insurance in favor of the buyer will be purchased only if expressly agreed upon; FCA, CPT, and DAP do not trigger any obligation on the part of Primex to provide insurance. In the absence of such an agreement, it is the buyer’s responsibility to arrange for any additional insurance coverage.
6.5 Relationship to Other Terms and Conditions
The agreement on an Incoterm governs exclusively delivery obligations, the organization of transportation, the allocation of costs and risks, as well as related transportation, customs, and cooperation obligations. Transfer of title, retention of title (see General Terms and Conditions, Section 2.10), payment (see General Terms and Conditions, Sections 1.3 / 2.3), rights in the event of defects (see General Terms and Conditions, Section 2.13), liability (see General Terms and Conditions, Section 2.15), and other contractual rights and obligations are governed by the respective contract, the applicable General Terms and Conditions, and applicable law.
To the extent that these Terms of Delivery govern matters relating to delivery, transportation arrangements, loading, unloading, allocation of costs, transfer of risk, customs clearance, or obligations to cooperate in connection with transportation, they shall take precedence over the General Terms and Conditions of Primex GmbH.
